it installs along with windows if there is enough free space. you need to successfully resize windows c: or d: or other partition, making it smaller and in appeared free space create 2 partitions for linux.
to upgrade from 8.10 to 9.10 you need to upgrade to versions between them, so install new version.

I would just get the Cd and install 9.10 from there just to be in the
safe side, and you can keep windows vista and Ubuntu together, you
just have to have enough space in your memory, some computer have
shown problems when doing that, it is mainly caused by a low ram, so i
would suggest to keep only Ubuntu on your computer, although you can
make a virtual PC in your computer and keep windows there, if there
any any problems ONLY the virtual PC will get harmed not your
computer.
