I have serious problem in my PC at booting time

From last 2 months I am facing some serious problem with my PC. I have 2 OS in my system; XP professional and Ubuntu Gusty Gibbon with P-4, original Intel 845 GVSR mother board, 512 DDR1 ram, DVD writer etc. 1) Some time while switch on, my system starts booting after selecting the OS, and after some time it stops before complete boot and power of automatically. Next time I switch on and heard a long beep sound after that the bios screen displayed, showing the massage that last time the CPU was shut down due to over heating. Please service the item soon. Press F4 to resume. 2) Some time after completion of booting, while I am doing some work, suddenly the system stops responding. Mouse was not moving. No key in keyboard was responding. Hard disk LED was some times fully glowing and some time not at all glowing. Again I have to press the reboot switch. These problems I am facing only for first time booting within 2 to 4 minutes or maximum up to 2nd time rebooting. After that the system behaves well whether I run it for 1 hour or 5 hours with many reboots and switching between 2 OS. Kindly suggest me what should I do now. The system components warranty already expires in January 2008 except hard disk.

Check you CPU fan is spinning properly and there is no cable or whatever blocking air flow.
Computers should be placed in well ventilated places due to overheating.

Yes my CPU fan spinning properly. Some days before I have cleaned my mother board by opening the fan and also cleaned the heat sink. but still the problem persists. One month before my SMPS also damaged by burning. I have replaced that one.

Maybe go in for a different heatsink and a fan and change the cabinet... Mostly the problem is due to overheating I think in your case

Long beep sounds like ram problem, have you done a mem check? Ubuntu can do it on start up. or since you "disturbed" things on the motherboard try reseating it all (ie ram, cpu etc) and cleaning any dust off as you go best to turn off all power. if that doesn't help maybe the motherboard sorry! I know that is not good news.
